Key Responsibilities:
- Negotiating ISDA Agreements: Engage in negotiations with counterparties to establish the terms and conditions of ISDA agreements. This includes discussing trade terms, collateral provisions, credit support annexes, termination events, and other relevant clauses.
- Drafting and Reviewing Contracts: Prepare, review, and revise ISDA agreements to ensure accuracy, compliance, and alignment with the negotiated terms. Attention to detail and a strong understanding of legal language and financial concepts are essential.
- Risk Management: Assess potential risks associated with derivative transactions and identify ways to mitigate them. Evaluate counterparty creditworthiness, collateral requirements, and legal implications to protect the interests of your organization or clients.
- Legal and Regulatory Compliance: Stay informed about relevant laws, regulations, and industry best practices. Ensure that ISDA agreements comply with applicable regulatory requirements, such as Dodd-Frank Act, European Market Infrastructure Regulation (EMIR), and other global regulations.
- Relationship Management: Build and maintain strong relationships with counterparties, internal stakeholders, legal teams, and other relevant parties. Collaborate effectively to address any issues or disputes that may arise during the negotiation process.
- Documentation and Record-Keeping: Maintain accurate records of all negotiated agreements, amendments, and related correspondence. Properly organize and store documents to ensure easy accessibility and retrieval when needed.
Qualifications and Skills
- Strong knowledge of derivative products, financial markets, and trading practices.
- In-depth understanding of ISDA documentation, including Master Agreements, Credit Support Annexes, and other related schedules.
- Excellent negotiation and communication skills, with the ability to influence and persuade counterparties.
- Legal background or familiarity with legal concepts and contract drafting.
- Attention to detail and a meticulous approach to contract review and analysis.
- Ability to work in a fast-paced, deadline-driven environment.
- Analytical and problem-solving skills to assess risks and propose suitable solutions.
- Familiarity with relevant regulatory frameworks and industry standards.
- Proficiency in using relevant software and tools for contract management and documentation.
